Conditions
These Employer Terms and Conditions (the "Employer Terms") constitute a legally binding agreement between Already Doing It Ltd ("the Company," "we," "us") and the entity purchasing or using the Services ("the Client," "the Employer," "you").
By purchasing session credits, accessing the Clarity Framework, or receiving Strategic Clarity Reports, the Client agrees to be bound by these Employer Terms.
The Company provides a platform for candidate engagement, social value auditing, and recruitment analytics. The Services include:
- Session Credits: Pre-paid access for the Client's designated candidates (e.g., apprentices, applicants, or students) to book 1-to-1 sessions with vetted Mentors.
- Analytical Deliverables: Access to a suite of data-driven reports generated through the Company's proprietary "Clarity Framework." These include, but are not limited to, Sentiment Analysis, Retention Risk Mapping, and Strategic Planning insights.
- Social Value & Regulatory Reporting: Aggregated data and impact audits provided to assist the Client with statutory, CSR, or regulatory reporting (e.g., OFGEM RIIO-2 compliance).
Full Definitions: A detailed description of each specific report is provided in Schedule 1 (Service Schedule) of this agreement.
- Credit Purchases: Services are purchased in "blocks" as defined in the relevant Invoice or Order Form.
- Payment Terms: All invoices are payable within thirty (30) days of the invoice date.
- Credit Expiry: Purchased session credits must be utilized within twelve (12) months of the purchase date. Unused credits at the end of this period are non-refundable.
- Taxes: All fees are exclusive of VAT where applicable.
- The Framework: Already Doing It Ltd retains all rights, titles, and interests in the "Clarity Framework," including its methodology and reporting structures.
- Licence of Reports: Upon receipt of full payment, the Client is granted a non-exclusive, perpetual, non-transferable licence to use the Strategic Clarity Reports for internal recruitment, retention, and strategic planning purposes only.
- GDPR Compliance: Both parties shall comply with all applicable requirements of the UK GDPR.
- Data Processing: The Client acknowledges that candidates must independently register and consent to the Company's Privacy Policy.
- Anonymization: For Social Value reporting, data provided to the Client will be aggregated and anonymized unless explicit candidate consent for identification has been obtained.
- No Guarantee of Outcome: The Client acknowledges that the Services are an advisory tool. The Company does not warrant or guarantee that any candidate will accept an employment offer, successfully onboard, or remain employed by the Client.
- Predictive Accuracy: "Certainty Scores" and "Renege Risks" are based on qualitative sentiment analysis at a specific point in time. The Company is not liable for any employment decisions, financial losses, or "missed hire" costs resulting from the Client's reliance on these metrics.
- Cap on Liability: To the maximum extent permitted by law, the Company's total liability shall not exceed the amount paid by the Client for the specific session block giving rise to the claim.
Each party agrees to keep confidential all non-public information received from the other party, including pricing, the "Clarity Framework" methodology, and internal candidate recruitment data. This obligation shall survive the termination of this agreement for a period of three (3) years.
The Client agrees that it shall not, during the term of this agreement and for twelve (12) months thereafter, attempt to hire, contract, or engage any Mentor discovered through the platform for independent mentoring or brand ambassador services outside of the Already Doing It platform without the Company's express written consent.
The Company shall implement appropriate technical and organizational measures to protect Personal Data against unauthorized or unlawful processing and against accidental loss, destruction, or damage. We shall notify the Client within 48 hours of becoming aware of any data breach affecting their candidates.
These Employer Terms are supplemental to the Already Doing It General Terms and Conditions. In the event of any conflict between the General Terms and these Employer Terms, these Employer Terms shall take precedence regarding the commercial and analytical relationship between the Company and the Client.
Neither party shall be liable for any failure or delay in performing their obligations where such failure results from any cause beyond the reasonable control of that party, including power failure, internet service provider failure, industrial action, civil unrest, or acts of God.
Either party may terminate this agreement with thirty (30) days' written notice. Upon termination, the Client shall remain liable for any outstanding fees, and no refunds shall be issued for unused credits unless termination is by the Company without cause.
This agreement and any dispute arising out of it shall be governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales.
- Provision of Reports: The Company shall provide the Client with the specific suite of reports (the "Deliverables") as selected in the Order Form and defined in Schedule 1 (Service Schedule). This may include, but is not limited to, the Social Value Impact Audit, RIIO-2 Data, and the Candidate Certainty Matrix.
- Regulatory Assistance: The Client acknowledges that these reports are designed as evidentiary tools to assist with Ofgem RIIO-2 Social Value and Inclusion compliance, as well as internal ESG and CSR reporting.
- Data Integrity: The Company warrants that the data is gathered via structured sessions and processed through the Clarity Framework. While the Company uses rigorous methodology to verify data accuracy, the Client acknowledges that the reports are based on qualitative candidate sentiment and represent a "point-in-time" analysis.
- Usage Rights: The Client is granted a non-exclusive licence to use these reports for regulatory submissions, annual reporting, and internal strategic planning.
